Brand Accountability

As a brand, you are responsible for:

• The accuracy of campaign details, creatives, and instructions.
• Ensuring your content complies with all applicable laws and platform guidelines.
• Providing truthful, lawful, and non-deceptive promotional materials.

Popbrain is not liable for misleading claims or brand misrepresentation in your submitted content or instructions.

Creators Independence

Creators on Popbrain act as independent third parties. The Platform does not control their creative expression or the context in which your campaign is shared.

Popbrain does not guarantee:

• Creators loyalty,
• Brand alignment beyond what is agreed upon within the campaign brief.

Platform Access & Technical Interruptions

While we strive to maintain platform stability, Popbrain does not guarantee uninterrupted service. Access may be affected by:

• Scheduled maintenance,
• Technical glitches,
• Server issues,
• Third-party tool disruptions (e.g., Instagram, payment processors).

Popbrain is not responsible for any losses resulting from such interruptions.

Third-Party Integrations

Popbrain may use third-party services or tools (e.g., analytics providers, tracking systems, payment gateways).

We do not control or warrant the reliability, security, or performance of these third-party services.

Billing and Payments

Popbrain operates on a click-based payment model:

• You are billed for valid clicks as tracked and verified by our system.
• Payments made for impressions, reach, or conversions beyond clicks are not applicable.
• Refunds are not provided for validly delivered clicks.
• Fraud protection tools are in place, but some discrepancies or invalid activity may occur.

Compliance Requirements

Brands must comply with:

• Advertising and consumer protection laws.
• Applicable data usage and privacy policies.
• Popbrain’ content guidelines (e.g., no misleading, offensive, or illegal content).

Violation may result in campaign suspension or account termination without prior notice.

Content and Creative Limitations

Popbrain reserves the right to:

• Decline or request modification of any ad content that may violate guidelines.
• Remove campaigns that are flagged for inappropriate or misleading material.
• Restrict certain industries or topics based on platform policy or legal compliance.

Limitation of Liability

To the maximum extent permitted by law, Popbrain is not liable for:

• Business losses or unrealized revenue from campaigns.
• Fluctuations in creator engagement.
• Technical delays, platform errors, or analytic discrepancies.
• Any reputational impact caused by creator conduct.

Brand & Creators Interaction

Popbrain does not intervene in private collaborations outside the platform. We are not responsible for:

• Direct deals made with creators without using the Popbrain infrastructure.
• Miscommunication or disputes arising from such off-platform arrangements.

Campaign Data & Analytics

Performance metrics (clicks, CPC, views) provided on the Popbrain dashboard are based on real-time automated systems. While we aim for accuracy, data may include estimates and are not legally binding proofs of ROI.

Account Suspension or Termination

Popbrain reserves the right to:

• Suspend or terminate brand accounts that violate platform rules or legal standards.
• Withhold or cancel campaigns involving fraudulent practices, false claims, or unethical marketing.

Ad Review and Approval Process

Popbrain may review campaign submissions before they are made live.

We reserve the right to:

• Delay campaign launch for content review,
• Reject or modify ad creatives that do not meet platform or policy standards,
• Suggest edits for improved creator clarity and compliance.

Intellectual Property Ownership

By submitting creatives (images, videos, captions, etc.), you affirm that:

• You own or have rights to all submitted content,
• You grant Popbrain and participating creators a limited license to use, display, and promote these materials solely for campaign execution.

Popbrain is not responsible for disputes regarding unauthorized use of third-party assets. Popbrain does not guarantee specific outcomes, including clicks, conversions, engagement, or sales. Campaign success is influenced by audience behavior, creator performance, market conditions, and other external factors beyond the Platform’s control.

Creators Behavior and Conduct

While Popbrain maintains quality control mechanisms, we do not control the personal behavior of creators.

The Platform is not responsible for:

• Creators content outside your campaign,
• Public statements, controversies, or reputational issues related to an creator,
• Comments or interactions generated on creator posts.

Campaign Modification and Cancellation

Brands may request to pause, modify, or cancel campaigns under the following conditions:

• Modification is only allowed before creator approval or link assignment.
• Emergency removals are allowed for legal or safety issues but are subject to review.

Data Privacy and Retargeting Restrictions

Brands are prohibited from:

• Collecting personal data of creators or users through campaigns,
• Embedding trackers, scripts, or pixels without prior disclosure and approval,
• Using Popbrain for remarketing outside agreed scope.

Changes to the Disclaimer

This Disclaimer may be updated periodically. Continued use of the Platform implies your acceptance of the revised terms. Brands are advised to review this document regularly.
