Eligibility

To use Popbrain, you must meet the following requirements.

• Be legally authorized to represent a business or brand
• Provide accurate business and billing information
• Agree to comply with all applicable laws and advertising standards

Account Registration & Access

• You must provide complete and accurate business details during sign-up
• You are responsible for maintaining the confidentiality of your account credentials
• You may not misrepresent your identity, brand, or products

Campaign Creation & Approval

• Campaigns must be submitted via the Popbrain dashboard with creatives, budgets, and targeting preferences
• All campaigns are subject to review and approval before being published
• Popbrain reserves the right to reject or remove any campaign that violates our content standards or community guidelines

Wallet & Billing

• Brands must pre-load their account wallet with a budget before launching any campaign
• Charges are based on valid clicks generated on promoted ads by creators
• The applicable GST is included in the final deducted amount
• Funds are deducted from the wallet in real time as valid clicks are delivered
• Wallet balance is non-transferable and non-refundable once a campaign begins or budget is consumed
• Applicable GST (currently 18% as per Indian tax regulations) will be charged on all advertising spends and is included in the final deducted amount.

Payments & Invoicing

• Payments can be made via UPI, Debit/Credit Card, or other supported methods
• Invoices are generated automatically upon successful payments and made available in the dashboard
• Pricing, platform fees, and payment terms may be revised with prior notice
• All payments made to Popbrain are subject to applicable TDS and GST under Indian law. Advertisers are responsible for deducting and depositing TDS as required. For full details, please refer to our TDS Refund Policy.

Ad Credits

• Popbrain offers promotional Ad Credits to help advertisers get started and scale campaigns. These include Welcome Credits for new users and Promotional Credits. Credits may have specific validity, eligibility, and redemption limits, and are unlocked only after completing the required qualifying ad spend, subject to verification.
• Ad Credits are valid only for future advertising spend on Popbrain, carry no cash value, and cannot be transferred, combined, or applied to past spend. Eligibility is subject to approval, and misuse including multiple accounts, invalid traffic, or fraudulent activity may result in disqualification or account suspension. Accounts must remain in good standing, with successful payments, to retain credits. Popbrain reserves the right to modify or revoke this offer at any time, and all decisions are final.

Campaign Guidelines

• Creatives must be original or authorized for use, and must not mislead or misinform viewers
• You are responsible for ensuring your product or service complies with all applicable advertising regulations.
• Campaigns must not promote illegal products, hate speech, adult content, or misleading claims.

Data Processing (Merchant Customer Data)

When you install a Popbrain integration — the Popbrain Pixel app for Shopify or the Popbrain for WooCommerce plugin — on your store, Popbrain acts as a data processor and you (the merchant) act as the data controller for your store visitors' and customers' personal data.

• Purpose Popbrain processes storefront event data — page views, product views, add-to-cart, checkout, purchases, order value, currency, click identifiers, and store domain — solely to provide conversion tracking, advertising attribution, and campaign optimization for your account.
• Our obligations: Popbrain will: (i) process this data only to provide the service; (ii) keep it confidential; (iii) never sell it; (iv) apply security measures including encryption in transit and at rest, access controls, and 2FA; (v) not use the data for any unrelated purpose.
• Sub-processors: Popbrain may use vetted sub-processors (e.g., cloud hosting) bound by equivalent data-protection obligations.
• Data subject rights: Popbrain will assist you in responding to customer requests to access, correct, or delete their personal data.
• Data breach: Popbrain will notify you without undue delay after becoming aware of any personal data breach affecting your data.
• Retention & deletion: Popbrain retains this data only as long as needed to provide the service, and deletes it upon your request or when the app or plugin is uninstalled.
• Compliance: Both parties will comply with applicable data-protection laws, including the GDPR and India's DPDP Act, as relevant.

Reporting & Analytics

• Real-time analytics on clicks and performance are available in the dashboard
• Analytics data is for reporting and optimization purposes only and may not be redistributed externally
• Fraudulent click activity is automatically filtered using Popbrain’s proprietary algorithms

Refund & Cancellation Policy

• Payments are non-refundable once a campaign starts or the budget is consumed
• Refunds may be issued only in the case of platform errors or duplicate charges, subject to approval.
• Cancellation is allowed only before a campaign goes live; refund eligibility will be determined after deducting processing fees.
• Refunds are not applicable due to click exhaustion, creator selection, or dissatisfaction with performance.

Suspension & Termination

Popbrain reserves the right to suspend or terminate access under the following circumstances.

• Payment issues or chargebacks occur.
• Your campaigns breach our guidelines or applicable law
• Fraudulent, misleading, or unethical practices are detected.

Intellectual Property

• All creatives provided by you remain your intellectual property
• You grant Popbrain and participating creators a limited right to use creatives during active campaigns
• You agree not to use Popbrain’s name, logo, or creator content without written consent.

Disclaimer of Liability

Popbrain provides the platform “as is” and makes no guarantee on the performance, number of clicks, or conversions.

We are not liable for delays, downtime, or actions taken by creators or third parties.

Modifications to Terms

• We may update these Terms at any time. Updates become effective upon posting.
• Your continued use of the Platform implies acceptance of the updated Terms.

Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India. Any disputes shall fall under the exclusive jurisdiction of the courts of Delhi, India.
